Terms of Service

These Terms of Service ("Terms") govern your use of the RepairOp platform ("Service") provided by RepairOp ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.
1. Service Description
RepairOp is a cloud-based repair shop management platform that provides ticket management, customer communication, billing, AI-assisted estimates, appointment scheduling, and related tools. The Service is designed for repair shop owners and their authorized staff ("Subscribers").
2. Account Registration
- You must provide accurate and complete registration information.
- You are responsible for maintaining the security of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must be at least 18 years old and have the authority to bind your business to these Terms.
- One account per business entity. Each shop location may have its own tenant account.
3. Subscription and Billing
- The Service is offered on a subscription basis at the pricing published on our website or agreed upon in writing.
- New accounts receive a trial period as specified during signup. No credit card is required for trial.
- After the trial, you must subscribe to a paid plan to continue using the Service.
- Subscription fees are billed in advance on a monthly or annual basis.
- We may change pricing with 30 days' notice. Price changes do not apply to the current billing period.
- Failed payments may result in service suspension after a grace period.
- Add-on services (communications package, additional phone numbers, etc.) are billed separately as specified.
4. Your Data
- Ownership: You retain all rights to the data you and your customers enter into RepairOp. We do not claim ownership of your content.
- License to us: You grant us a limited license to host, process, and transmit your data solely for the purpose of providing the Service.
- Data isolation: Each subscriber's data is stored in a separate database. Your data is never mixed with other subscribers' data.
- Portability: You may export your data at any time through the admin panel.
- Backup: We maintain regular backups, but you are responsible for maintaining your own copies of critical data.
5. Your Responsibilities
As a subscriber, you agree to:
- Use the Service in compliance with all applicable laws and regulations.
- Maintain your own privacy policy that accurately describes how you collect and use your customers' data.
- Obtain appropriate consent from your customers for communications (SMS, email, phone) sent through RepairOp.
- Comply with telecommunications regulations including the TCPA, 10DLC requirements, and CAN-SPAM Act.
- Not use the Service to send spam, unsolicited messages, or harassing communications.
- Not attempt to access other subscribers' data or systems.
- Not reverse engineer, decompile, or attempt to extract the source code of the Service.
- Not resell access to the Service without our written consent.
6. Communications Compliance
If you use RepairOp's phone, SMS, or email features:
- You are the sender of record and are responsible for compliance with the TCPA, CAN-SPAM Act, and state regulations.
- You must obtain proper consent before sending commercial or automated messages.
- You must honor opt-out requests promptly (RepairOp processes STOP requests automatically).
- 10DLC registration is required for US A2P SMS. We facilitate registration but you are responsible for providing accurate brand information.
- Call recording, if enabled, requires that you notify callers per applicable state laws (RepairOp provides configurable consent prompts).
7. AI-Assisted Features
RepairOp offers AI-powered features including repair estimates, work plans, and communication drafting. Regarding these features:
- AI outputs are suggestions only. You are responsible for reviewing and approving all AI-generated content before it is sent to customers.
- We do not send personally identifiable information to AI providers. Only device details and service descriptions are transmitted.
- AI features may not be available at all times and their accuracy is not guaranteed.
8. Service Availability
- We strive for high availability but do not guarantee uninterrupted service.
- We may perform scheduled maintenance with advance notice.
- We are not liable for downtime caused by factors outside our control (internet outages, third-party service disruptions, force majeure).
9. Limitation of Liability
To the maximum extent permitted by law:
- RepairOp's total liability for any claim shall not exceed the fees you paid in the 12 months preceding the claim.
- We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
- We are not liable for actions taken by third-party services integrated with RepairOp (payment processors, telephony providers, etc.).
- We are not liable for the accuracy of AI-generated content that you choose to use.
10. Indemnification
You agree to indemnify and hold RepairOp harmless from any claims, damages, or expenses arising from: your use of the Service; your violation of these Terms; your violation of applicable laws; or claims by your customers related to how you handle their data.
11. Termination
- By you: You may cancel your subscription at any time through the admin panel or by contacting us. Cancellation takes effect at the end of the current billing period.
- By us: We may suspend or terminate your account for violation of these Terms, non-payment, or illegal activity, with notice when practical.
- Effect of termination: Upon cancellation, your data will be retained for 30 days to allow for reactivation or export, then permanently deleted.
- Refunds: Prepaid fees for the current billing period are non-refundable. If we terminate your account without cause, we will provide a pro-rated refund.
12. Intellectual Property
The RepairOp platform, including its code, design, documentation, and branding, is owned by RepairOp and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service during the subscription term.
13. Modifications to Terms
We may update these Terms from time to time. We will notify subscribers of material changes via email at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance. If you disagree with changes, you may cancel your subscription.
14. Governing Law
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Fayette County, Kentucky.
